IMPORTANT: THESE WELLNESS CIRCLE LOYALTY PROGRAM TERMS CONTAIN A MANDATORY ARBITRATION PROVISION THAT, AS FURTHER SET FORTH IN SECTION 18 BELOW, REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES. THIS MEANS THAT YOU AND LEMME ARE EACH GIVING UP THE RIGHT TO SUE EACH OTHER IN COURT OR IN CLASS ACTIONS OF ANY KIND, EXCEPT AS EXPRESSLY SET FORTH IN SECTION 19 HEREIN. IN ARBITRATION, THERE IS NO JUDGE OR JURY AND THERE IS LESS DISCOVERY AND APPELLATE REVIEW THAN IN COURT.

Welcome to the Wellness Circle! By signing up for our Loyalty Program (“Program”), or using any benefits or rewards made available from time to time thereunder (“Rewards”) you agree to be bound by these Terms.

In addition to these Program Terms, your participation in Program is subject to our website Terms and Conditions of Service and Sale located here, which are made a part of these Program Terms and are expressly incorporated herein by this reference. Please read the website Terms and Conditions of Service and Sale before participating in the Program. This Program is included in the definition of “Service” as that term is used in the Terms of Service. If there’s ever a direct conflict or inconsistency between these Program Terms and Lemme’s Website Terms and Conditions of Service and Sale, these Program Terms will control to the extent the conflict relates specifically to the Program. Otherwise, the Website Terms and Conditions of Service and Sale continue to apply in full.

Information collected in connection with the Program is governed by our Privacy Policy which you can find here, and our Consumer Health Data Privacy Policy which you can find here, both of which are made a part of these Program Terms and is expressly incorporated herein by this reference. Please read the Privacy Policy as it explains how we collect, use and share your personal information and includes information about how to update or change the ways Lemme communicates with you. If there is any inconsistency between these Program Terms and the Privacy Policy, the Privacy Policy will control. In addition, California law requires we disclose specific information about financial incentives we offer, and Colorado requires similar information when it comes to “Bona Fide Loyalty Programs.” Other states may have similar laws. You can read this information at our Notice of Financial Incentive in the Privacy Policy, available here. By participating in the Program, you are consenting to the privacy practices described in the Privacy Policy, Consumer Health Data Privacy Policy, and Notice of Financial Incentive.

1. Program Membership, Eligibility, and Account

The Program is open only to individuals who are legal residents and physically located in one (1) of the fifty (50) United States (including the District of Columbia) and who are at least eighteen (18) years old at the date and time of membership enrollment. Participation is limited to individuals for personal use only and is limited to one (1) account per person. We may request proof of eligibility from you at our discretion. We also reserve the right to review and void any points on purchases that we determine, in our sole discretion, were made for resale or commercial use.

Membership in the Program is entirely voluntary and does not require a purchase or any other cost or fee to join. This Program is void where prohibited.

You can only have one account registered to you. Lemme may, at its sole discretion, suspend, cancel or combine accounts that appear to be duplicative. You are responsible for the accuracy and completeness of the information you provide. Failure to keep your account information current and complete may result in forfeiture or lapsing of Program offers. Lemme is not responsible for any Program offers you may miss due to incomplete or incorrect account information. In the event of a dispute over the identity of a member, Lemme will look to the registered account holder of the email address associated with the account. A member may be required to show proof of being the registered account holder of such email address. This is defined as the person assigned to an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses.

You are responsible for keeping your password and any account credentials confidential and for making sure that no unauthorized person has access to your account. You are responsible for all activities that occur under your password, and Lemme may rely on the authority of anyone accessing your account or using your account credentials. You agree to let us know about any unauthorized activity or other breach of security on your account. If you notify us that your account is no longer secure or accessible to you, Lemme may deactivate it at its discretion to prevent misuse.

2. Membership Levels

Eligible participants in the Program (“Members”) are eligible for certain benefits based on membership status. The Program has three tiers of membership: Nourish, Glow, and Thrive.

  • Nourish: No minimum qualifying purchases.

  • Glow: Qualifying purchases of $150-$300 per year.

  • Thrive: Qualifying purchases of $300+ per year.

Nourish Members will unlock Glow or Thrive membership status with additional benefits based on the total spend on qualifying purchases. A “qualifying purchase” is defined as merchandise purchased from lemmelive.com for personal use. Purchases for resale, or amounts for sales tax, state fees, gift packaging fees, shipping and handling or delivery

charges, and any amount paid using a purchase order, gift card, merchandise credit, mail certificate, gift certificate, credit voucher, refund check, or any other type of store credit do not qualify. You will not earn points for the amount of any coupon or discounts, or the value of any point redemptions applied to your purchase.

Qualifying purchases must be maintained between January 1 and December 31 of any given year. At the beginning of each calendar year, the Qualifying Purchases amount will be reset to zero. Members will retain the prior year’s status level through the end of the new year if the minimum Qualifying Purchases for that status was reached in that prior year. If you did not reach the minimum Qualifying Purchases amount for Glow or Thrive as applicable during the year, your status will be adjusted to Nourish in the following year (or may be terminated or suspended due to inactivity, see Section 11 below).

3. Earning Points

Members can earn points in two (2) ways. First, Members can earn points for making qualifying purchases on lemmelive.com (“Website”), as described below. Second, Members can earn points for interacting with Lemme in other ways (“Activities”) as further described below and as may be updated by Lemme from time to time. Members start accumulating points for purchases and other Activities completed on and after their date of enrollment. When Members have enough points, they can redeem them for various products, discounts, and other offers (each a “Reward”) subject to availability and as further described below.

Earning Points By Making Purchases on lemmelive.com (note: you must be logged into your account to earn)

Following Program enrollment, for every one dollar ($1 US) all Members spend on qualifying Lemme product purchases on the LEMME Website (pre-tax and shipping) Members will be awarded one (1) point. For subscription orders, Glow and Thrive tier Members receive 1.25 points per one dollar ($1 US) spent.

Members must be logged into their account at the time they place their order on the Website to earn points, and except as Lemme may permit on a case-by-case basis in its sole discretion, points will not be credited or awarded retroactively for purchases made when not logged in. Points are calculated on the actual purchase price paid, excluding taxes and shipping, and are rounded down to the nearest whole dollar (ex: a $43.75 non-subscription purchase is 43 points). Gift cards and other fees (if any) are not eligible for points, and additional exclusions may apply. Lemme reserves the right to impose limits on the numbers of points Members can earn should it deem it necessary.

4. Special Points Offers

From time to time, Lemme may offer bonus point opportunities, whereby Members have an opportunity to obtain higher points on qualifying purchases. For these events, Nourish tier Members will earn 1.5 points for every one dollar ($1 US) spent, and Glow and Thrive tier members will earn 2 points for every one dollar ($1 US) spent. The promotional materials may identify additional qualifying events, exclusions, and restrictions.

Lemme may occasionally offer other limited-time bonus point opportunities or additional ways to earn points. If we do, we will tell Members how those work at the time, including requirements, additional terms that must be met or accepted, timing and any other relevant details. These opportunities may vary, and participation is always voluntary.

5. Additional Benefits

Members are eligible for certain Program benefits based on membership status. Any benefits with a time limit will be forfeited if unused within that time limit.

Program membership must be active and in good standing for members to be eligible for any program benefit. Additional terms and conditions may apply to program benefits and will be specified in offers or in the Rewards Marketplace. Offers subject to change.

Birthday Rewards. As a Member, you will be eligible to receive a birthday reward once a year if your birthday is included in your profile at least seven business days before the first day of your birthday month. The birthday reward will be selected at our discretion.

Early Access. Glow and Thrive tier Members will receive early access to select launches and promotions.

VIP Challenges. Thrive tier Members will receive challenges only accessible to their tier at select times.

Surprise Gifts. Thrive tier Members will receive surprise free gifts at the timing and discretion of Lemme.

6. Voluntary Content Submission & Publicity Rights

Certain Activities may give you the option to submit content (such as photos, captions, comments or other material in connection with earning points). Any such content you submit in connection with the Program is considered “User Submission” as defined in our Terms and Conditions of Service and Sale, which you agree to be bound by the "User Submissions" Section in our Terms and Conditions of Service and Sale, located here, which is expressly incorporated herein by reference.

By participating in this Program, each Member agrees to irrevocably allow Lemme the perpetual right to use his/her name, address (city and state), biographical information, likeness, picture and other information and content provided in connection with the Program for promotion, trade, commercial, advertising and publicity purposes in all media worldwide, including, but not limited to, on television and the Internet, without notice, review or approval and without additional compensation, except where prohibited by law.

7. Redeeming Points for Rewards

Members may redeem available points for various Rewards on the Program Page. The required number of points will then be subtracted from the account balance following Reward selection. Redemptions are final. Once you redeem your points for Rewards, those points are considered used, and they won’t be refunded, reinstated or reversed.

Current Rewards and the number of points required to redeem, as well as additional instructions related to specific Rewards, are available on the Program dash. The type, timing and availability of any Rewards, special offers, advance access, exclusive events or experiences will be determined by Lemme in its sole discretion and may be updated from time to time on the Program Page on Lemme’s website, elsewhere on Lemme’s website, or as otherwise communicated to members via email or other form of communication. There may be a limited number of particular Rewards available, and those Rewards will be provided on a first-come, first-served basis while supplies last. Lemme reserves the right to modify, amend, or revise the Rewards or any Program Offers. Members may not rely on the continued availability of a particular Reward. The number of points required to redeem a Reward may be substantially increased, any Reward may be withdrawn, and restrictions on redemption may be imposed by Lemme or the third party supplying the Reward (if any).

Physical Rewards will be shipped to U.S. addresses only (50 U.S. and DC, no P.O. Boxes). Lemme reserves the right to substitute Rewards of comparable or greater value if any Reward becomes unavailable for any reason. Unless otherwise specified, physical Rewards will be fulfilled within six to eight weeks from date of redemption. Rewards pictured in any point-of-sale, online, promotional packaging, advertising, and/or other Lemme materials are for illustrative purposes only, and the actual Reward may vary from the Reward pictured.

8. Points & Rewards Expiration

Points Expiration

BEGINNING JANUARY 28, 2026, POINTS ARE VALID SIX (6) MONTHS MONTHS FROM THE DATE THEY ARE EARNED, WHETHER THROUGH WEBSITE PURCHASES OR ACTIVITIES. POINTS ACQUIRED BUT NOT REDEEMED PRIOR TO JANUARY 28, 2026 ARE VALID FOR SIX (6) MONTHS FROM DATE.

ALL UNUSED POINTS AUTOMATICALLY EXPIRE SIX (6) MONTHS FROM THE DATE THEY ARE EARNED WITHOUT ANY FURTHER NOTICE FROM LEMME. Points may expire on different dates depending on when they were earned. Expiration of Points is subject only to notice to you that is required by law, if any.

Rewards Expiration

Rewards in the form of discounts or free shipping on the Lemme Website must be used within 30 days from issuance, unless otherwise indicated. If you redeem your points for one of these and otherwise fail to complete the required steps to claim your Reward within 30 days from redemption (unless otherwise indicated), the Reward will be considered forfeited, and your Points will not be refunded or reinstated.

9. Points Have No Cash Value

Points, Rewards, and/or any other Program offers are promotional and have no cash or other pecuniary value, cannot be exchanged for cash, are not gift certificates, and have no value outside of this Program. Program Points, Rewards, and other offers cannot be sold, shared, gifted, assigned, bartered, or otherwise transferred, provided that if a Reward is expressly transferrable, you can transfer such Reward in accordance with its specific, applicable terms. You cannot combine your points or Rewards with the points or Rewards of any other Member. No credit or cash will be given for unused points. You have no ownership interest in points, Rewards, your account, or any other offers. Use of the word “earn” is meant to mean “collect” and “spend” is meant to mean “use.”

10. Points Balance

Members may access and update their information and access their account status, including points balance and expiration, by logging in to their Program account. Points will typically appear in Members accounts within one (1) to two (2) business days of the date their qualifying Website purchase is processed. Points earned in connection with other Activities will typically appear within the time period identified in connection with each Activity, or if no time period is identified, within three (3) business days of your verified completion of the applicable Activity.

If a Member reasonably believes points were not properly credited to their account, they must notify us by contacting support@lemmelive.com within thirty (30) days of the date on which such points should have been awarded per these Program Terms. You agree that our determination with respect to points accrued shall be final. Lemme reserves the right to determine the number of points in your account based on our internal records. Lemme’s internal records will be deemed accurate and in the event of any inconsistency between the

number of points stated in a Member account and Lemme’s records, Lemme’s records control. Lemme can adjust or void points at any time, consistent with these Program Terms.

11. Membership Inactivity

Lemme reserves the right to terminate or suspend any account that has no qualifying participation for six (6) months. Lemme may do this without providing any notice. You can always rejoin later as a new member again starting at zero points. Qualifying participation includes simply logging in, updating your profile, earning or redeeming points, completing an Activity or any other action we count as participation.

12. Membership Cancellation

To cancel your membership at any time, you can also email us at privacy@lemmelive.com. Your membership in the Program will be terminated within thirty (30) days, and subject only to notice that may be required by law, all Program offers will expire and become void upon the date of termination. If you do decide to cancel your enrollment in the Program and you later re-enroll, you will be treated as a new member of the Program. Cancellation of your membership in the Program will stop your ability to earn or redeem points but will not cancel your account. To delete your account entirely, please refer to our Privacy Policy for instructions on exercising that right. You can also reach out to us at the contact info provided above.

13. Membership Suspension

Lemme reserves the right to suspend, investigate, or terminate any membership and/or suspend or void Rewards or other offers at any time with or without notice for any reason, including, without limitation, for ineligibility, suspected fraud or abuse (e.g., unusually rapid accrual of points), manipulation of the Program (including an individual registering more than one account), conduct inconsistent with these Program Terms or our other policies, and/or for violation of any local, state, or federal laws. In the event a Member’s participation in the Program is terminated, all earning and redemption activities will be suspended and all accumulated Points and Rewards in their account are void upon the date of termination. Suspension or termination or similar actions taken by Lemme in connection with the Program, such as points adjustment, will in each case be final and conclusive. Fraud or abuse including use of the Program for unlawful or unauthorized purposes by Members may not only result in cancellation of their membership but may impact their eligibility for participation in other Lemme programs. Lemme will have the right to take appropriate administrative or legal action as it deems necessary in its sole discretion. We’ll always aim to communicate clearly and fairly, but all questions or disputes regarding the Program offers, eligibility, awarding or earning of points or your compliance with these Program Terms will be resolved by Lemme in its sole discretion.

14. Program Disruptions

Lemme is not responsible for any problems, or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail as a result of technical problems or traffic congestion on the Internet or at any website, including any resulting error in computing qualifying purchases or any unavailability of Rewards, or any injury or damage to any member’s or any other person's computer or mobile device related to or resulting from participation in the Program. If, for any reason, the Program is not capable of running as planned, including due to errors of any kind or nature (technical or human), infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, acts of God, acts or omissions of third parties (e.g., Reward fulfillment providers), or any other causes beyond Lemme’s control which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Program, Lemme reserves the right in its sole discretion to cancel, terminate, modify, or suspend the Program or otherwise respond to the circumstances as Lemme deems appropriate.

Despite best efforts, errors do occasionally happen. Lemme reserves the right to correct such errors at any time even if it impacts pending points or other Program offers. This could mean an adjustment to your account status or points balance at any time, without notice, due to technical errors or miscalculations or other reasons which LEMME determines is appropriate.

15. Program Modification and Termination

Lemme reserves the right to change, modify and/or cancel the Program, any aspect of the Program, or any portion of these Program Terms (or any other policies related to this Program) from time to time, without advance notice to you in our sole discretion. This includes, without limitation, changes to points conversion or Rewards offered even if such changes may impact your ability to use points you have already earned. If Lemme decides to change these Program Terms, we will post an updated version here (or another URL that Lemme may designate) with an update to the “last updated” date located at the top of these Program Terms. We may also choose to send an email notifying you of any such changes, but we are not obligated to do so, and you waive any right you might have to such notice. Members should check this page periodically for updates. ANY CHANGES TO THESE REWARD TERMS WILL BE EFFECTIVE UPON POSTING THE REVISIONS. Your continued participation in or access to the Program in any way (e.g., logging in to your account, earning or redeeming points) after we post any changes confirms you agree to the Program Terms as modified. In the event we cancel the Program for any reason, your membership terminates, and all Program offers, including points and Rewards, may be voided.

16. Indemnification

You agree to be bound by the "Indemnity" Section in our Terms and Conditions of Service and Sale, located here, which is expressly incorporated herein by reference.

17. Disclaimers of Warranties; Limitation of Liability

You agree to be bound by the “Warranty Disclaimer” and “Limitation of Liability” Section in our Terms and Conditions of Service and Sale, located here, which is expressly incorporated herein by reference.

18. Dispute Resolution

i. The Federal Arbitration Act applies to these Program Terms. A party seeking arbitration of any dispute or claim subject to this Section 18 shall submit a demand for arbitration to the American Arbitration Association (“AAA”). The confidential arbitration will be administered by the AAA pursuant to the current AAA Consumer Arbitration Rules, except to the extent modified by these Terms and excluding any rules or procedures governing or permitting class or representative actions. The AAA rules and instructions are available on the AAA website at www.adr.org/consumer.

ii. The arbitrator shall conduct any calls, conferences, or hearings by teleconference or videoconference, unless the arbitrator determines that an in-person hearing is appropriate. Any in-person hearing will be held at a location that is reasonably convenient. You and an employee of Lemme shall attend all arbitrator calls, conferences, and hearings.

iii. If the arbitrator finds that a party’s claim, counterclaim, or appeal was frivolous, asserted in bad faith, or pursued for purposes of harassment, the arbitrator shall award the opposing party its attorneys’ fees, costs, and expenses and all amounts charged by AAA for the arbitration.

iv. The arbitrator will follow these Program Terms and the law. The arbitrator shall not have the authority to commit errors of law or legal reasoning. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that individual party’s claim. The arbitrator may not award relief for or against anyone who is not a party, though the individual relief awarded by the arbitrator may incidentally affect non-parties.

v. If the amount in controversy does not exceed $10,000 and neither party seeks injunctive or declaratory relief, then the arbitration will be conducted solely on the basis of documents you and Lemme submit to the arbitrator, unless the arbitrator determines that a hearing is necessary or the parties agree otherwise. If the amount in controversy exceeds $10,000 or seeks declaratory or injunctive relief, either party may request (or the arbitrator may determine) to hold a hearing.

vi. You or Lemme may file such dispositive motions with the arbitrator as would be permitted by the Federal Rules of Civil Procedure without obtaining permission from the arbitrator. Upon the filing of any dispositive motion, the arbitrator may stay all further action and deadlines in the arbitration until deciding such motion.

vii. Process for Arbitration of Mass Demands. If more than twenty-five (25) Dispute(s) notices are initiated within 120 days of your Dispute(s) notice (i) that involve questions of law or fact common with your Dispute(s) and (ii) where the initiating parties are represented by the same law firm(s) or organization(s) or the Dispute(s) notices are presented by or with the assistance or coordination of the same law firm(s) or organization(s), then such Disputes, including yours, shall be coordinated pursuant to this paragraph. For any such Disputes not resolved during the Informal Dispute Resolution process, the group of claimants and group of respondents shall each select five (5) demands, for a total of ten (10), to be filed with AAA (collectively the “Initial Batch Demands”). Each of the Initial Batch Demands shall be assigned to a different arbitrator chosen from its national roster. While the Initial Batch Demands are adjudicated, no other demand for arbitration that is subject to this section may be filed, administrated, or adjudicated, and no filing or other administrative costs for such a demand for arbitration shall be due from either party to the arbitration provider. If, contrary to this provision, a party prematurely files non-Initial Batch Demand(s) with the arbitration provider, the parties agree that the arbitration provider shall hold those demands in abeyance. Further, any relevant limitations periods for all claims or disputes that fall within the scope of this Section 19.f.vii shall be tolled pending the adjudication of the Initial Batch Demands and subsequent Mediation Period.

You agree to cooperate in good faith with Lemme and AAA to implement the Initial Batch Demands approach, including the payment of combined reduced fees, set by AAA in its discretion. Any party may request that AAA appoint a sole standing administrative arbitrator (“Administrative Arbitrator”) to determine threshold questions such as whether the Initial Batch Demands process is applicable or enforceable. In an effort to expedite resolution of any such dispute by the Administrative Arbitrator, the parties agree that the Administrative Arbitrator may set forth such procedures as are necessary to resolve any disputes promptly. The Administrative Arbitrator’s costs shall be paid by Lemme, unless the Administrative Arbitrator determines that the party seeking a decision by the Administrative Arbitrator did so by raising issues that were frivolous, asserted in bad faith, or pursued for purposes of harassment, in which case the losing party shall pay all costs associated with the Administrative Arbitrator’s decision.

The results of the Initial Batch Demands will not have any precedential or binding effect on any non-Initial Batch demands, but the results will be given to a mediator from AAA selected from an initially proposed group of 5 mediators, with Lemme and the non-Initial Batch Demands claimants’ counsel being able to strike one

mediator each and then rank the remaining mediators and the highest collectively ranked mediator being selected. The selected mediator will try to facilitate a resolution of the remaining demands. After the results are provided to the mediator, Lemme, the mediator and the remaining claimants will have 60 days (the “Mediation Period”) to agree on a resolution.

If the Mediation Period expires without a resolution or other agreement to the substantive methodology for resolving the outstanding demands (or if the Initial Batch Demands process set forth in this section 19.f.vii is determined by the arbitrator or court of competent jurisdiction to be void or unenforceable), either Lemme or any remaining claimant may opt out of the arbitration process and have the demand(s) proceed in court without application of the Class Action Waiver. Notice of the opt-out will be provided in writing within 60 days of the close of the Mediation Period (or within 60 days of a determination the Initial Batch Demands process is void or unenforceable). If neither Lemme nor the remaining claimants opt out, the arbitrations may proceed as individual arbitrations.

viii. No arbitration award or decision shall have any preclusive effect in other arbitrations or other litigation, except to preclude the same or similar claims from being re-litigated between the same parties.

ix. If you are able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, we will pay the portion of any AAA filing fees, administrative fees, and arbitrator fees in excess of $250 that the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive compared to the costs of litigation, unless the arbitrator determines that your claim(s) were frivolous or asserted in bad faith or for purposes of harassment, in which case such filing fees, administrative fees, and arbitrator fees may be imposed upon you consistent with the applicable AAA rules. Unless otherwise expressly stated in this Section 17 or otherwise provided by the arbitration rules and/or applicable law, each party is responsible for its own attorney’s fees.

x. Severability. If any part of this Section 18 is found by a court of competent jurisdiction to be unenforceable or invalid, the court will reform the agreement to the extent necessary to cure the unenforceable part(s), and the parties will arbitrate their Dispute(s) without reference to or reliance upon the unenforceable part(s), unless this Section 18 otherwise expressly permits the Dispute(s) to be brought in court or expressly permits You or Lemme to opt out of the arbitration process and proceed in court. However, if for any reason (i) any Dispute(s) subject to Section 18 of these Terms are filed or submitted as a class arbitration, class action, collective action, or representative action and (ii) if the Class Action Waiver is held invalid or unenforceable as to such Dispute(s) or portion thereof, then the agreement to arbitrate contained in Section 18 of these Terms does not apply to the Dispute(s) or portion thereof and such Dispute(s) or portion thereof

must be brought in a federal or state court located in, respectively, New York, New York, or the federal district in which that county falls, but the remainder of the agreement to arbitrate will be binding and enforceable.

xi. 30-Day Right to Opt Out. You have the right to opt out and not be bound by Section 18 of these Terms by sending written notice of your decision to opt out to optout@lemmelive.com with the subject line, “ARBITRATION OPT-OUT” from the email address associated with your individual Lemme account. An opt-out notice that purports to opt out multiple parties will be invalid as to all such parties. The notice must be sent on an individual basis within thirty (30) days of (a) January 28, 2026, or (b) your first use of the Service, whichever is later. Otherwise, you shall be bound to arbitrate disputes in accordance with Section 18 of these Program Terms. If you opt out, you may exercise your right to a trial by jury or judge, as permitted by applicable law, but any prior existing agreement to arbitrate disputes under a prior version of the Arbitration Agreement will not apply to claims not yet filed. If you opt out, Lemme also will not be bound by Section 18 of these Program Terms.

General

  • Taxes: Program members are solely responsible for any federal, state, or local taxes and/or government fees that may be imposed in connection with the Program.

  • Waiver: No delay or failure by us to enforce any of these Program Terms shall be a waiver of any of our rights.

  • Severability: The invalidity or unenforceability of any provision(s) of these Program Terms shall not affect the validity or enforceability of any other provision. If any provision of these Program Terms is found to be invalid or unenforceable, the Program Terms shall be construed in accordance with their terms as if the invalid or unenforceable provision were not contained therein.

  • Construction: The headings used in these Program Terms are for convenience only, are not a substantive part of these Program Terms, and do not affect the interpretation of any of its provisions. Any reference to the term "including" means "including, without limitation."

  • Governing Law: Except to the extent otherwise expressly stated in the Program Terms, these Program Terms are governed by, and contractual claims arising out of these Program Terms will be construed under, the laws of the State of New York, without regard to the conflict of laws provisions of the State of New York; provided, however, that extra-contractual claims (including, for example, tort claims or statutory claims) will be subject to the conflict of laws provisions of the State of New York.

  • Misc: Lemme may apply additional eligibility criteria, restrictions, or conditions to certain Activities or Rewards — especially if something is time-sensitive or requires extra steps. Lemme reserves the right, in its sole discretion, to add, modify, or clarify limitations or exclusions at any time, including after a Reward is announced or claimed, if necessary to ensure fairness, safety, or compliance with laws, or to prevent abuse of the Program. In the event of any inconsistency or discrepancy between these Program Terms and other statements contained in any related materials or advertising, these Program Terms will control.

Lemme Referral Program Terms & Conditions

The Lemme Referral Program is subject to our website Terms and Conditions of Service and Sale located here) and our Privacy Policy (which you can find here), as well as the following additional terms and conditions. If there’s ever a direct conflict or inconsistency between these terms and Conditions and Lemme’s Website Terms and Conditions of Service and Sale, these terms and conditions will control to the extent the conflict relates specifically to the Referral Program. Otherwise, the Website Terms and Conditions of Service and Sale continue to apply in full.

How It Works

  • The Dashboard. A Referral Dashboard (“Dashboard”) is available to all registered Lemme Loyalty Program Members and can be found in their Loyalty Program account page. The Dashboard generates unique referral codes, provides options for sharing the codes, and lists referral credits awarded.

  • Making a Referral. Eligible Referrers can use the Dashboard to generate a unique referral code. Referrers may only make referrals to friends and family; by making a referral you are representing that you have permission to send a message to the Referred Customer. Referrers may not promote their code or the Referral Program through paid made, by posting referral codes publicly on social media, or through an arranged agreement with sales agents or other third parties that provide compensation for distributing or providing referral codes from referral Programs.

    • Referrer. Any natural person can refer a friend (a "Referred Customer") as a "Referrer", regardless of whether the referrer is a new or existing Lemme customer. Referrers can refer as many customers as they wish. The referred customer and the referrer cannot be the same natural person (e.g. by using different email addresses). The assessment is at the sole discretion of Lemme.

    • Referred Customers. For a Qualified Referral, the Referred Customer must be a natural person who has never purchased from the Lemme online shop before (new customer), regardless of the possible use of different email addresses or other contact details. Each natural person can only be a Referred Customer once, i.e. further/repeated purchases by a customer do not count as a Qualified Referral. The assessment is at the sole discretion of Lemme.

  • Getting a Referral Reward. For each Qualified Referral that complies with these conditions, the Referrer receives a referral reward in the form of a promotional code ("Reward"). The Reward may only be redeemed personally by the referrer and is not transferable.

    • Qualified Referral. A Qualified Referral is the conclusion of a purchase by a Referred Customer by means of a unique referral link from the Lemme Referral Program on www.lemmelive.com. Referrals without using such link will not be accepted.

Reward Details

  • Only Qualified Referrals that follow these terms and satisfy all the Lemme Referral Program criteria shall be eligible for a referral Reward.

  • Rewards are provided as single, one-time use promotional codes in the amount stated on the Lemme Referral Program webpage, which can be redeemed for a future purchase. Reward codes will appear in the Dashboard within thirty (30) days of the Qualified Referral.

  • Only one promotional code can be redeemed per purchase. Multiple promotional codes, regardless of their nature or origin, cannot be redeemed in the same purchase.

  • Promotional codes can be redeemed at checkout on www.lemmelive.com by adding the promotional code to the relevant field prior to submitting payment. Promotional codes may also be redeemed by Lemme subscribers within their account by adding the promotional code in the relevant field to their next order. Once the code has been added to the next order, the reward is automatically applied to the next delivery. The referrer can redeem further codes in the same way for the subsequent delivery after this delivery has been sent.

  • The right to redeem a Reward expires after ninety (90 days) from its issuance. Referral Rewards are capped at $1,000.00 US per Referrer in any 12-month period.

  • Rewards can only be used to purchase products in the Lemme online shop and are not redeemable for cash or gift cards. The referrer is responsible for all tax liabilities resulting from Rewards.

Eligibility Details

  • Only individuals who are legal residents and physically located in one (1) of the fifty (50) United States (including the District of Columbia) and who are at least eighteen (18) years old at the date and time of the Qualified Referral are eligible to participate in the Lemme Referral program. The Lemme Referral program may not be used by businesses or corporations or for affiliate lead generation. Lemme employees and third-party agents compensated for selling Lemme products are not eligible to participate.

  • A Referrer or Referred Customer may be required to provide information about the other such as name and address in order to validate the Reward and their eligibility.

General Terms

  • Misuse. Any misuse of the Lemme Referral program is prohibited. This includes in particular circumvention by using other contact details by the same person, or the use of an intermediary if the actual beneficiary is excluded from the Lemme Referral program. The assessment is at the sole discretion of Lemme.

  • No Spam. The Lemme Referral program is designed to avoid "spamming" and unreasonable harassment of the Referred Customers. The Referrer must also comply with all applicable “spam” laws and unreasonable harassment. In particular, referral messages must be created and sent in a personal manner by the Referrer. Bulk email distribution via mailing lists is not permitted unless the Referrer has the effective permission of the message recipients to send third-party advertising to them. Any sending of the referral link that could be considered unsolicited commercial email or "spam" under applicable law is expressly prohibited and will be grounds for immediate termination of the customer account and exclusion from Lemme Referral program.

  • Right to Remove Rewards and Close Accounts. Lemme reserves the right to remove Rewards deemed to be fraud, abuse, misuse, or such other inappropriate or suspicious behavior. Lemme also reserves the right to close the account(s) of any Referrer and/or Referred Customer and to request proper payment if the Referrer and/or Referred Customer attempts to use the Lemme Referral program in an unauthorized manner. These assessments are at the sole discretion of Lemme.

  • Right to Change Terms or Cancel the Referral Program. Lemme reserves the right to terminate the Lemme Referral program or change its terms and conditions at any time at its sole discretion.
